Welcome to Maxim F Design! The terms “we”, “us” and “our” refer to Maxim F Design. Maxim F Design operates this store and website, including all related information, content, features, tools, products and services, in order to provide you, the customer, with a carefully curated shopping experience (the “Services”). Maxim F Design operates on a platform provided by Shopify Inc., Shopify Commerce Singapore Pte. Ltd. or Shopify International Limited, depending on where Maxim F Design is located, which enables us to provide the Services to you.
The terms below, together with the policies referred to herein (these “Terms of Service”), describe your rights and responsibilities when you use the Services. Please read these Terms of Service carefully, as they include important information about your legal rights and cover areas such as warranty disclaimers and limitations of liability.
By visiting, interacting with or using our Services, you agree to be bound by these Terms of Service and our privacy policy. If you do not agree to these Terms of Service or the Privacy Policy, you should not use our Services. These Terms of Service do not limit any rights you may have under applicable consumer protection legislation or other mandatory statutory rights.
1. Right of use and account
By agreeing to these Terms of Service, you represent that you have reached at least the age of majority in your state or region of residence, and that you have given us your consent to allow any of your minor dependents to use the Services on devices you own, purchase or manage. To use the Services, including browsing our online stores or purchasing products or services we offer, you may be asked to provide certain information, such as your email address and billing, payment and shipping details. You represent and warrant that all information you provide to our stores is correct, current and complete and that you have all rights necessary to provide this information. You are solely responsible for maintaining the security of your account credentials and for all activity that takes place under your account. You may not transfer, sell, assign or license your account to any other person.
2. Our products
We have made every effort to provide an accurate description of our products and services in our online stores. However, please note that colours or the appearance of a product may differ from how they appear on your screen, due to the type of device you use to access the store and your device's settings and configuration. We do not guarantee that the appearance or quality of the products or services you purchase will meet your expectations or be identical to what is described or shown in our online stores. All product descriptions may be changed at any time without separate notice at our sole discretion. We reserve the right to discontinue the sale of any product at any time and may limit the quantities of products we offer to any person, geographic region or jurisdiction on a case-by-case basis.
3. Orders
When you place an order, you make an offer to purchase and authorise us and our payment processors to charge the total amount of your order to the payment method you have chosen. Maxim F Design reserves the right to accept or reject your order for any reason at its sole discretion within the limits of applicable law. Your order has not been accepted until Maxim F Design confirms acceptance. We must receive and process your payment before your order is accepted. Please review your order carefully before submitting it, as Maxim F Design may not be able to fulfil cancellation requests after an order has been accepted. If we do not accept, change or cancel an order, we may attempt to notify you by contacting the email address, billing address and/or phone number provided at the time the order was placed. Your purchases may be returned or exchanged only in accordance with our return and refund policy. This does not limit your rights under applicable law. You represent and warrant that your purchase is intended for your own personal or household use and not for commercial resale or export.
4. Prices and billing
Prices, discounts and promotions may change without prior notice. The price charged for a product or service is the price in effect at the time the order is placed, and it is stated in your order confirmation email. Unless expressly stated otherwise, the stated prices do not include taxes, shipping, handling, customs or import fees. Prices stated in our online stores may differ from prices offered in physical stores or in online or other stores operated by third parties. From time to time we may offer promotions in the Services that may affect pricing and that are subject to terms separate from these Terms of Service. If there is a conflict between the promotion's terms and these Terms of Service, the promotion's terms take precedence. You agree to provide current, complete and accurate purchase, payment and account information for all purchases made in our stores. You agree to promptly update your account and other information, including your email address, credit card numbers and expiry dates, so that we can complete your transactions and contact you when necessary. You represent and warrant that (1) you have the right to use the payment method you provide, (2) the information you provide about such payment method is true, correct and complete, (3) the provider of your payment method will honour the charges incurred by you, and (4) you will pay the charges incurred by you at the stated prices, including shipping and handling charges and all applicable taxes.
5. Shipping and delivery
Unless otherwise stated, we are not responsible for shipping and delivery delays. All delivery times are estimates only and cannot be guaranteed. We are not responsible for delays caused by carriers, customs processing or events beyond our control. To the extent permitted by applicable law, title and risk of loss pass to you when we hand the products over to the carrier, unless applicable law provides otherwise. We are not responsible for delays or errors caused by events beyond our reasonable control, including carrier or customs delays, natural disasters, severe weather, labour disputes, supply shortages, power or telecommunications outages, cyber disruptions, government action or other similar events. 6. Intellectual property
Our Services, including without limitation all trademarks, brands, text, images, graphics, product reviews, and video and audio content, are the property of Maxim F Design, its partners or licensors, and are protected by United States and foreign trademark, copyright and other intellectual property laws. Likewise, product catalogues are managed and owned by Maxim F Design. The purchase or delivery of any product does not grant or transfer any intellectual property rights, including any patent, copyright, trademark or other proprietary right in the product itself, its design, software or underlying technology. All such rights remain solely with Maxim F Design or the original rights holder. These Terms allow you to use the Services only for personal, non-commercial use. You may not reproduce, distribute, modify, create derivative works of, publicly display or perform, republish, download, store or transmit any material in the Services without our prior written consent. Except as expressly stated herein, nothing in these Terms of Service grants, or shall be construed as granting, a licence or other rights to you under any patent, trademark, copyright or other intellectual property right of Maxim F Design, Shopify or any third party. Unauthorised use of the Services may violate applicable intellectual property laws or other laws. All rights not expressly granted herein are reserved by Maxim F Design. The names, logos, product and service names, designs and slogans of Maxim F Design are trademarks of Maxim F Design or its partners or licensors. You may not use such trademarks without the prior written permission of Maxim F Design. Shopify's name, logo, product and service names, designs and slogans are trademarks of Shopify. All other names, logos, product and service names, designs and slogans appearing in the Services are the trademarks of their respective owners.
7. Optional tools
You may be given access to third-party tools as part of the Services, which we do not monitor and over which we have no control or influence. You understand and agree that we provide access to such tools “as is” and “as available” without any warranties, representations or conditions of any kind and without any endorsement. We shall have no liability whatsoever arising from or relating to your use of optional third-party tools. Any use of optional tools offered through the site is entirely at your own risk and discretion, and you should ensure that you are familiar with and approve the terms on which the relevant third-party providers supply these tools. We may also in the future offer new features through the Services (including the release of new tools and resources). Such new features shall also be deemed part of the Services and are subject to these Terms of Service.
8. Third-party links
The Services may include materials and hyperlinks to websites provided or operated by third parties (including embedded third-party functionality). We are not responsible for examining or evaluating the content or accuracy of any third-party materials or websites you choose to access. If you choose to leave the Services to access these materials or third-party sites, you do so at your own risk. We are not responsible for any harm or damages related to your access to any third-party websites or the purchase or use of any products, services, resources or content on third-party websites. Please review third-party policies and practices carefully and make sure you understand them before engaging in any transaction. Complaints, claims, concerns or questions regarding third-party products and services should be directed to the relevant third party.
9. Relationship with Shopify
Maxim F Design operates on the Shopify platform, which enables us to provide the Services to you. When you use the Services, your device communicates with Shopify's systems to deliver the Services. Section 10 explains how Shopify uses and processes information obtained from these interactions. However, all sales and purchases made in our store are made directly with Maxim F Design. By using the Services, you understand and agree that Shopify is not responsible for any sale between you and Maxim F Design, including any injury, damage or loss resulting from products and services purchased. You hereby expressly release Shopify and its partners from all claims, damages and liabilities arising from or relating to your purchases and transactions with Maxim F Design.
10. Privacy policy
Our privacy policy explains how we may collect, use and disclose certain personal information from your use of the Services. By using the Services, you confirm that you have read this privacy policy. Because the Services are hosted on Shopify's servers, when you browse and use the Services Shopify collects, uses, processes and stores personal information about your use of the Services, including information about your payment transaction. Shopify may use this information, among other things, to provide, secure and improve the Services, process payment transactions, and prevent fraud on this and other websites operating on the Shopify platform. When you visit or use the Services, the information collected, including information automatically collected about your browsing activity, is transferred and shared with Shopify and with third parties that may be located in countries other than the one where you live, in order to provide the Services to you. 11. Feedback
If you submit, upload, post, email or otherwise transmit ideas, suggestions, feedback, reviews, plans or other content (collectively “Feedback”), you grant us a perpetual, worldwide, sublicensable, royalty-free licence to use, reproduce, modify, publish, distribute and display such Feedback in any media for any purpose, including commercial use. For example, we may exercise our rights under this licence to maintain, provide, evaluate, enhance, improve and promote the Services and to fulfil our obligations and exercise our rights under the Terms of Service. You also represent and warrant that: (1) you own or have all necessary rights to all Feedback; (2) you have disclosed any compensation or incentives you received in connection with submitting Feedback; and (3) your Feedback complies with these Terms of Service. We have no obligation, and shall not be obligated, to (a) keep your Feedback confidential; (b) pay compensation for your Feedback; or (c) respond to your Feedback. We may, but have no obligation to, monitor, edit or remove Feedback that we determine in our sole discretion to be unlawful, offensive, threatening, libellous, defamatory, pornographic, obscene or otherwise objectionable or that violates any party's intellectual property rights or these Terms of Service. You agree that your Feedback will not infringe any third party's rights, including copyright, trademark, privacy, identity or other personal or proprietary rights. You further agree that your Feedback will not contain defamatory or otherwise unlawful, offensive or obscene material, or any computer viruses or other malware that could in any way affect the operation of the Services or any related website. You may not use a false email address, pretend to be someone else, or otherwise mislead us or third parties as to the origin of any Feedback. You are solely responsible for the Feedback you provide and its accuracy. We assume no liability for Feedback submitted by you or any third party.
12. Errors, inaccuracies and omissions
From time to time the Services may contain information with typographical errors, inaccuracies or omissions, which may relate to product descriptions, pricing, promotions, offers, product shipping charges, transit times and availability. We reserve the right to correct any errors, inaccuracies or omissions and to change or update information or cancel orders if information is inaccurate, including after an order has been placed. If we cancel an order after payment has been collected, we will issue a refund as required by applicable law.
13. Prohibited uses
13.1 You may use the Services only for lawful purposes. You may not use the Services, directly or indirectly: (a) for any unlawful or harmful purpose; (b) to violate any international, federal, provincial or state regulations, rules, laws or local ordinances; (c) to infringe our or others' intellectual property rights; (d) to harass, abuse, insult, harm, defame, disparage, slander, belittle or intimidate our employees or any other person; (e) to transmit false or misleading information; (f) to send, knowingly receive, upload, download, use or reuse material that does not comply with these Terms of Service; (g) to send or promote the sending of any advertising or promotional material, including “spam”, “chain letters” or similar solicitations; (h) to impersonate or attempt to impersonate another person or entity; or (i) for any other activity that restricts or prevents anyone's use or enjoyment of the Services or that, as determined by us, may harm Maxim F Design, Shopify or users of the Services or expose them to liability.
13.2 In addition, you agree not to: (a) upload or transmit viruses or any other type of malicious code that is or may be used in a way that affects the functionality or operation of the Services; (b) reproduce, duplicate, copy, disassemble, sell, resell or exploit any part of the Services; (c) collect or track the personal information of others; (d) spam, phish or deceive through the Services; (e) use robots, data mining and extraction tools, automated devices or processes, AI tools (such as agentic AI), or automated or manual means to access the Services; or (f) interfere with, bypass or circumvent security or authorisation features, robot exclusion headers or other measures we use to restrict access to the Services. We reserve the right to suspend, disable or terminate your account at any time without notice if we determine that you have breached any part of these Terms.
14. Agents
14.1 This section (the “Agent Terms”) applies if you use, permit, enable or cause the deployment of an agent to access or interact with any Service. “Agent” means any software or service that acts autonomously or semi-autonomously on behalf of, or at the instruction of, any person or entity and that can be run on a person's device without direct supervision.
14.2 No agent may access or interact with the Services unless it always identifies itself and operates strictly in accordance with the requirements set out in section 14.4 below. In addition, no agent may access or interact with the Services if we have asked the agent to refrain from accessing or interacting with any service.
14.3 We may restrict, including by technical measures, whether and how any agent may access and interact with the Services.
14.4 Agents must: (a) in all HTTP/HTTPS requests, identify that the request originates from an agent and state the agent's name by including the following in the request's user-agent string: “Agent/[agent name]”; (b) not conceal or obscure the fact that the access, use or interaction originates from an agent, for example by (i) mimicking human behaviour and interaction patterns or (ii) completing or circumventing CAPTCHA tests or measures intended to distinguish computer use from human use; (c) answer truthfully any question or prompt intended to determine whether the interaction is coming from a human or a computer; and (d) not circumvent or otherwise evade measures intended to prevent, restrict, modify or monitor whether, and how, agents access, use or interact with the Services.
15. Termination
We may terminate this agreement or your access to the Services (or any part of them) at any time at our sole discretion without prior notice, and you remain liable for all amounts due up to and including the date of termination. The following sections continue to apply after any termination: Intellectual property, Feedback, Termination, Warranty disclaimer, Limitation of liability, Indemnification, Severability, Waiver; entire agreement, Assignment, Governing law, Privacy policy, and any other terms which by their nature should survive termination.
16. Warranty disclaimer
The information presented in or through the Services is provided for general information only. We do not guarantee the accuracy, completeness or usefulness of this information. Any reliance on this information is entirely at your own risk. We disclaim all liability and responsibility arising from any reliance on such materials by you or any other visitor to the Services, or by anyone who may be informed of its contents.
EXCEPT AS EXPRESSLY STATED BY Maxim F Design, THE SERVICES AND ALL PRODUCTS OFFERED THROUGH THE SERVICES ARE PROVIDED FOR YOUR USE ON AN “AS IS” AND “AS AVAILABLE” BASIS WITHOUT ANY REPRESENTATIONS, WARRANTIES OR CONDITIONS OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING ALL IMPLIED WARRANTIES OR CONDITIONS OF MERCHANTABILITY, MERCHANTABLE QUALITY, FITNESS FOR A PARTICULAR PURPOSE, DURABILITY, TITLE AND NON-INFRINGEMENT. WE DO NOT GUARANTEE, REPRESENT OR WARRANT THAT YOUR USE OF THE SERVICES WILL BE UNINTERRUPTED, TIMELY, SECURE OR ERROR-FREE. SOME JURISDICTIONS LIMIT OR DO NOT ALLOW THE DISCLAIMER OF IMPLIED OR OTHER WARRANTIES, SO THE ABOVE DISCLAIMER MAY NOT APPLY TO YOU.
17. Limitation of liability
TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, Maxim F Design, OUR PARTNERS, DIRECTORS, OFFICERS, EMPLOYEES, SUBSIDIARIES, AGENTS, CONTRACTORS, SERVICE PROVIDERS OR LICENSORS, OR SHOPIFY AND ITS SUBSIDIARIES AND THEIR RESPECTIVE PARTIES, SHALL IN NO EVENT BE LIABLE FOR ANY INJURY, LOSS, CLAIM OR ANY DIRECT, INDIRECT, INCIDENTAL, PUNITIVE, SPECIAL OR CONSEQUENTIAL DAMAGES, INCLUDING WITHOUT LIMITATION LOST PROFITS, LOST REVENUE, LOST SAVINGS, LOSS OF DATA, REPLACEMENT COSTS OR ANY OTHER SIMILAR DAMAGES, WHETHER BASED IN CONTRACT, TORT (INCLUDING NEGLIGENCE), STRICT LIABILITY OR OTHERWISE, ARISING FROM YOUR USE OF THE SERVICES OR ANY PRODUCTS PROCURED THROUGH THE SERVICES, OR FOR ANY OTHER CLAIM RELATED IN ANY WAY TO YOUR USE OF THE SERVICES OR ANY PRODUCT, INCLUDING, BUT NOT LIMITED TO, ANY ERRORS OR OMISSIONS IN ANY CONTENT OR ANY LOSS OR DAMAGE INCURRED AS A RESULT OF THE USE OF THE SERVICES OR ANY CONTENT (OR PRODUCT) POSTED, TRANSMITTED OR OTHERWISE MADE AVAILABLE THROUGH THE SERVICES, EVEN IF ADVISED OF THEIR POSSIBILITY. NOTHING IN THESE TERMS OF SERVICE EXCLUDES OR LIMITS LIABILITY THAT CANNOT BE EXCLUDED OR LIMITED UNDER APPLICABLE LAW.
18. Indemnification
You agree to indemnify, defend and hold harmless Maxim F Design, Shopify and our subsidiaries, affiliates, partners, officers, directors, employees, agents, contractors, licensors and service providers from any loss, damage, liability or claim, including reasonable attorneys' fees, paid to a third party arising from (1) your breach of these Terms of Service or the documents incorporated by reference, (2) your violation of any law or the rights of a third party, or (3) your access to and use of the Services. We will notify you of any indemnifiable claims, provided that failure to notify promptly will not relieve you of your obligations unless you are materially prejudiced by it. We may assume the defence and settlement of any such claim at your expense, including choice of counsel, but will not settle any claim that imposes non-monetary obligations on you without your consent (which shall not be unreasonably withheld). You will cooperate in the defence of indemnifiable claims, including by providing relevant documents.
19. Severability
In the event that any provision of these Terms of Service is determined to be unlawful, void or unenforceable, such provision shall nonetheless be enforceable to the fullest extent permitted by applicable law, and the unenforceable portion shall be deemed severed from these Terms of Service, and such determination shall not affect the validity and enforceability of any other remaining provisions. Nothing in these Terms limits any rights you may have under applicable consumer protection laws or other laws that cannot be waived by contract. If any part of these Terms conflicts with those rights, those rights shall apply.
20. Waiver; entire agreement
Our failure to exercise or enforce any right or provision of these Terms of Service does not constitute a waiver of that right or provision. These Terms of Service and any policies or rules of conduct we have posted on this site or in respect of the Service constitute the entire agreement and understanding between you and us and govern your use of the Service, superseding any prior or contemporaneous agreements, communications and proposals, whether oral or written, between you and us (including, but not limited to, any prior versions of the Terms of Service). Any ambiguities in the interpretation of these Terms of Service shall not be construed against the drafting party.
21. Assignment
You may not delegate, transfer or assign this Agreement or any of your rights or obligations under these Terms without our prior written consent, and any such attempt shall be void. We may transfer, assign or delegate these Terms and our rights and obligations without your consent or prior notice to you.
22. Governing law
These Terms are governed by the laws of the jurisdiction in which Maxim F Design has its principal place of business or is registered, without regard to conflict of law rules. You and Maxim F Design consent to the jurisdiction and venue of the courts located in that jurisdiction, except where prohibited by applicable law. You and Maxim F Design consent to venue and personal jurisdiction in such courts. Nothing in this section limits your right to bring claims in local courts or to rely on mandatory laws that apply in your place of residence.
23. Translations
The Terms of Service may be available in languages other than English. If there are any inconsistencies or conflicts between these English Terms of Service and the Terms of Service available in other languages, the latest English version of the Terms of Service shall prevail. All disputes arising from these Terms of Service shall be resolved in English, unless Maxim F Design (acting at its sole discretion) determines otherwise or applicable law requires otherwise.

The headings used in this agreement are included for convenience only and do not limit or otherwise affect these Terms.
25. Electronic communications
By using the Services or placing an order, you agree that we may send you transactional and service-related communications electronically, including by email, in-account notifications or by posting them in the Services. These communications may relate to your orders, account, purchases, returns, these Terms of Service or other matters related to the Services. You are responsible for keeping your contact details up to date.
